Managed Payments Terms and ACH Debit Authorization

Short version: OmNom sends your available net funds on a daily payout schedule. If a restaurant-caused refund or lost payment dispute creates an unpaid balance after payout, OmNom first tries to recover available Stripe funds. OmNom may then debit only the itemized unpaid amount from the business bank account you authorize below or offset it against future restaurant transfers. OmNom provides at least seven calendar days’ notice before each ACH debit.
1. Scope and acceptance
These Managed Payments Terms and ACH Debit Authorization (the “Managed Terms”) are a legally binding agreement between the restaurant business and its authorized representative (“Restaurant,” “you,” or “your”) and Types LLC, a California limited liability company doing business as OmNom (“OmNom,” “we,” “us,” or “our”).
These Managed Terms apply only when OmNom assigns your restaurant to its managed_v2 payment model and you accept this version during onboarding. They supplement the Restaurant Owner Terms of Service. If the documents conflict about managed payment processing, settlement, refunds, disputes, recovery, or payouts, these Managed Terms control.
Restaurants that remain on a legacy Stripe model are not converted to managed_v2 by this document and continue under their existing payment arrangement.
2. Payment account and Stripe
OmNom uses Stripe to create and administer a connected payment account for your restaurant. The account can be created without a separate Stripe login or general Stripe Dashboard. You also agree to the Stripe Connected Account Agreement.
You must provide accurate legal, ownership, tax, identity, and bank information and keep it current. Stripe may require additional verification or impose holds, reserves, payout delays, or other restrictions under its own rules. OmNom cannot override Stripe’s decisions.
3. How customer payments and restaurant transfers work
Your restaurant remains the seller responsible for its menu, taxes, food, fulfillment, customer service, and order accuracy. OmNom creates customer charges through its Stripe platform and, where supported, identifies your connected account as the settlement merchant using Stripe’s on_behalf_of functionality.
For a standard order:
- The customer charge equals the food price, applicable sales tax, and the customer-facing OmNom service fee shown at checkout.
- Your restaurant transfer equals food and sales tax, minus the actual Stripe processing cost, any disclosed restaurant delivery contribution, and any lawful offset for an unpaid Merchant Debt.
- OmNom retains the customer-facing service fee and pays the ordinary monthly connected-account and daily-payout costs.
- OmNom does not estimate Stripe’s processing fee when settling an order; settlement waits for the actual provider fee.
For example, if food and tax total $20.00, the customer service fee is $1.25, and Stripe’s actual processing cost is $0.92, the customer pays $21.25 and the restaurant transfer is $19.08 before any delivery contribution or valid debt offset.
4. Authorization, capture, and canceled orders
- Pickup and dine-in payments can be authorized first and captured only after the restaurant accepts the order.
- If the restaurant rejects the order or the authorization expires before capture, OmNom releases the authorization and creates no Merchant Debt for that order.
- Delivery remains driver-first: OmNom authorizes the customer payment, obtains driver acceptance, and then captures and creates the restaurant-visible order.
5. Payouts
OmNom configures standard payouts on a daily schedule and does not impose its own minimum balance or rolling reserve. Only funds Stripe marks available can be paid out. A new account’s first payout can take approximately seven days or longer depending on Stripe’s review. Stripe may independently delay or reserve funds.
Instant Payouts are not offered during the initial managed_v2 launch. If offered later, eligibility and the complete fee must be displayed and accepted before each payout.
6. Refund responsibility
- Before capture: the authorization is released with no processing cost or Merchant Debt.
- OmNom-caused refund: OmNom bears the applicable refund amount and related costs; the restaurant does not receive a Merchant Debt for those amounts.
- Restaurant-caused refund: the customer can be refunded in full or in part. The restaurant is responsible for the refunded restaurant sale amount not recovered through a transfer reversal, the corresponding portion of the original Stripe processing cost, and the corresponding portion of the OmNom customer service fee. Partial refunds are prorated; a full refund reaches 100% of those costs.
OmNom will not charge the same amount twice. Any successful transfer reversal, credit, or other recovery is subtracted before an unpaid balance is recorded.
7. Payment disputes and chargebacks
OmNom may submit available order authorization, acceptance, receipt, fulfillment, pickup or delivery, timestamp, and communication evidence automatically. You must provide additional accurate evidence when reasonably requested.
- If a dispute is lost, the restaurant is responsible for the disputed restaurant sale amount, the actual dispute fee charged by Stripe, the corresponding original processing cost, and the corresponding OmNom customer service fee, after subtracting successful recoveries.
- If a dispute is won, OmNom credits the restaurant for each amount Stripe actually returns and reverses contingent Merchant Debt to that extent.
8. Merchant Debt and recovery order
“Merchant Debt” means an itemized amount the restaurant owes under Sections 6 or 7, less all successful reversals, credits, and prior recoveries. OmNom maintains an append-only adjustment and recovery history showing the source, amount, status, and remaining balance.
OmNom applies recovery in this order:
- Reverse restaurant transfer funds that remain available through Stripe.
- Initiate an authorized ACH debit for the remaining itemized amount after the notice described below.
- Offset the remaining balance against future restaurant transfers.
- Disable Instant Payouts while any Merchant Debt is outstanding.
- Place an online-ordering financial hold when Merchant Debt reaches $250 or remains unpaid for seven days.
- Remove the financial hold automatically after the debt and any other ordering blockers clear.
Transfer reversals and ACH debits can fail. A failed attempt does not erase the underlying Merchant Debt. OmNom may continue lawful offsets and other collection efforts, but will not knowingly collect more than the outstanding amount.
9. Recurring ACH debit authorization
Authorization: By selecting the ACH authorization checkbox and completing Stripe’s bank-verification flow, you represent that you are an authorized signer for the bank account you connect. You authorize Types LLC d/b/a OmNom and its payment processor, Stripe, to initiate recurring, variable-amount ACH debit entries to that account solely to recover Merchant Debt described in these Managed Terms. This authorization applies to the specific bank account you select in the secure Stripe connection flow immediately after acceptance and remains in effect until revoked.
Each ACH debit is limited to the unpaid Merchant Debt identified in OmNom’s itemized notice. A notice may combine multiple adjustments, but the debit will not exceed the total outstanding balance disclosed in that notice.
At least seven calendar days before each ACH debit, OmNom will send an electronic notice to the owner email on file and make the adjustment visible in OmNom. The notice will identify the amount, scheduled debit date, reason for the balance, connected bank’s last four digits, and how to contact OmNom. If the amount or scheduled date changes, OmNom will provide a replacement notice and restart the notice period.
You authorize recurring debits because Merchant Debt can arise at different times and in different amounts. OmNom will not use this authorization for unrelated purchases, subscription fees, platform-caused refunds, or amounts not permitted by these Managed Terms.
10. Revoking ACH authorization
You may revoke authorization for future ACH debits by emailing support@omnom.monster. To stop a debit already identified in a notice, OmNom must receive your revocation at least three business days before the scheduled debit date. OmNom will confirm the revocation electronically.
Revoking ACH authorization does not cancel Merchant Debt. OmNom may recover the balance from available Stripe funds or future restaurant transfers and may pause new online orders until an alternative repayment arrangement is approved. Connecting a replacement bank account requires a new authorization.
11. Authorization record and electronic copy
You consent to electronic records and signatures. OmNom and Stripe may retain the authorization date, authenticated OmNom user, agreement version, Stripe mandate and SetupIntent references, financial institution, account-holder type, and last four digits of the bank account. OmNom does not store the full account or routing number.
This versioned page is your electronic copy of the authorization. Stripe may also send a mandate confirmation or bank-verification email. You may print or save this page and request another copy from OmNom.
12. ACH failures, returns, and disputes
ACH debits are asynchronous and are not guaranteed. OmNom treats an ACH amount as unrecovered until Stripe confirms success. Failures and returns leave the underlying Merchant Debt outstanding. If an ACH debit is later returned after appearing successful, OmNom reverses the recovery allocation so the balance is accurate.
Nothing in these Managed Terms waives any non-waivable right you may have under applicable law or the Nacha Operating Rules. Contact OmNom promptly if you believe a debit does not match the notice or this authorization.
13. Taxes and records
You are responsible for accurate business and tax information and for your restaurant’s tax obligations. OmNom or Stripe may provide tax forms or report payments when legally required. You must keep your own order, payout, refund, dispute, and tax records.
14. Suspension and termination
OmNom may suspend payment features or online ordering for unpaid Merchant Debt, invalid bank authorization, overdue Stripe requirements, suspected fraud, legal requirements, or material breach. Ending your OmNom account does not eliminate accrued Merchant Debt, unresolved refunds or disputes, or lawful recovery rights.
15. Changes to these Managed Terms
OmNom will provide advance notice of material changes as required by law or contract. A material expansion of ACH debit authority requires a new affirmative authorization; continued use alone will not expand the scope of the authorization in Section 9.
16. General terms and contact
The governing law, dispute resolution, limitation of liability, and other general provisions in the Restaurant Owner Terms apply unless these Managed Terms expressly state otherwise.
